Terms of Service

Welcome to CalHive. These Terms of Service ("Terms") govern your access to and use of CalHive's wholesale VoIP services, website, and related products and services (collectively, the "Services"). Please read these Terms carefully before using our Services.
1. Acceptance of Terms
By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you are using the Services on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not agree to these Terms, you may not access or use the Services.
2. Description of Services
CalHive provides wholesale VoIP telecommunications services, including but not limited to:
- Wholesale SIP termination services
- Intelligent call routing
- Fraud monitoring and security
- Call detail records and reporting
- Robocall mitigation services
- IT consultancy and technical support
3. Account Registration
To access our Services, you must create an account and provide accurate, complete information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use
- Ensuring your contact information remains current
We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent or illegal activity.
4. Acceptable Use Policy
You agree to use our Services only for lawful purposes and in compliance with all applicable laws and regulations. You shall not:
- Transmit illegal robocalls, spam, or unsolicited communications
- Engage in caller ID spoofing for fraudulent or deceptive purposes
- Transmit traffic that violates FCC regulations or TCPA requirements
- Use the Services for any illegal, fraudulent, or abusive purposes
- Interfere with or disrupt the integrity or performance of the Services
- Attempt to gain unauthorized access to our systems or networks
- Resell or redistribute Services without authorization
- Transmit traffic originated by third parties without proper vetting
5. Regulatory Compliance
You are responsible for ensuring your use of the Services complies with all applicable telecommunications laws and regulations, including:
- FCC rules and regulations
- STIR/SHAKEN call authentication requirements
- Robocall mitigation requirements and Robocall Mitigation Database filings
- TCPA and state telemarketing laws
- Do-Not-Call registry requirements
- International telecommunications regulations
CalHive reserves the right to suspend or terminate Services to customers who violate regulatory requirements or generate significant traceback or complaint activity.
6. Pricing and Payment
Pricing for Services is set forth in your service agreement or our published rate decks. You agree to:
- Pay all fees and charges associated with your use of the Services
- Maintain valid payment information on file
- Pay invoices within the agreed payment terms
- Be responsible for any taxes, duties, or other charges
We reserve the right to modify pricing with reasonable notice. Continued use of Services after price changes constitutes acceptance of new pricing.
7. Service Level Agreement
Our service level commitments, including uptime guarantees and support response times, are detailed in the Service Level Agreement (SLA) provided with your service agreement. The SLA sets forth remedies available in the event of service failures.
8. Intellectual Property
All content, trademarks, and intellectual property associated with the Services remain the property of CalHive or our licensors. Nothing in these Terms grants you any right to use our trademarks, logos, or brand features without prior written consent.
9. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or confidential information received from the other party. This includes, but is not limited to, pricing information, technical specifications, customer data, and business strategies. Confidentiality obligations survive termination of these Terms.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CALHIVE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR LOST DATA, ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify, defend, and hold harmless CalHive and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Services, violation of these Terms, or violation of any rights of a third party.
12. Termination
Either party may terminate the service agreement upon written notice as specified in your service agreement. CalHive may immediately suspend or terminate Services if you breach these Terms, engage in fraudulent activity, fail to pay amounts due, or if required by law or regulatory order. Upon termination, your right to use the Services ceases immediately.
13. Dispute Resolution
Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in San Francisco, California. Each party shall bear its own costs, and the arbitrator's decision shall be final and binding.
14. General Provisions
- Governing Law: These Terms shall be governed by the laws of the State of California without regard to conflict of law principles.
- Entire Agreement: These Terms, together with your service agreement and Privacy Policy, constitute the entire agreement between you and CalHive.
- Severability: If any provision of these Terms is found unenforceable, the remaining provisions shall continue in full force and effect.
- Waiver: Failure to enforce any provision shall not constitute a waiver of that provision.
- Assignment: You may not assign these Terms without our prior written consent.
15. Changes to Terms
We may modify these Terms at any time by posting the revised Terms on our website. Material changes will be communicated via email or through the Services. Your continued use of the Services after changes become effective constitutes acceptance of the modified Terms.
